Corporate Counsel, Service Provider Americas Legal Team:

We are looking for an experienced attorney who has excellent legal and business judgment, with proven track record of providing outstanding and timely legal support. In this role, you will serve as a trusted advisor to Cisco’s senior service provider business executives and their sales teams and drive strategic deals and initiatives with our one of our largest service provider customers. You will draft and negotiate complex legal agreements in Cisco’s key architectural priority areas (Video. Collaboration, Data Center/Virtualization) and work with cross-functional teams of lawyers, finance specialists, product managers and sales teams in order to solve legal and business challenges.

The position is based at Cisco offices in Herndon, Virginia or Atlanta, Georgia or Research Triangle Park, North Carolina.

The role will report into the Director of the Service Provider Americas Legal Team.

Primary Responsibilities Include:
• Serving as the legal representative for a large Service Provider account. • Providing reliable and proactive legal advice to Cisco sales teams and executive management. • Drafting and negotiating a broad range of product, licensing, maintenance, and advanced services agreements. • Closely collaborating with key cross-functional stakeholders. • Provide leadership and bold thinking in resolving complex issues in the areas of intellectual property, licensing, competition law and risk allocation.

Background/Qualifications:
• Direct experience drafting and negotiating complex business transactions in a high-pressured environment. • Strong knowledge of commercial contracts and business, competition and IP law. • Excellent written and verbal communication skills, including the ability to explain complex legal issues to all levels of executive management. • Strong leadership skills and willingness to collaborate, share knowledge, respond quickly to urgent matters and execute proactively. • Knowledge of networking, cloud, telecom or software industries is a strong plus. • Law degree (or comparable professional/business qualifications) and minimum 5 years of relevant experience. • Admitted to practice, and in good standing, in at least one jurisdiction.

SENIOR CORPORATE LEGAL COUNSEL - PRE-OWNED LINE OF BUSINESS

We have an exciting opportunity to join our WW Geos group supporting Cisco Capital!

This Senior Corporate Counsel position will work as a member of the WW Geos Legal team aligned to Cisco Capital to support globally Cisco Capital’s Pre-Owned Line of Business. The Pre-Owned Line of Business is The Pre-owned Equipment business focuses on selling Cisco product coming off lease, return merchandise authorizations (RMA) as well as overstock.

The role will be as a member of the WW Geos Legal team reporting to the Global Legal SME for Cisco Capital. The successful candidate will be required to provide full legal counsel services, on a global basis, to the Cisco Capital Pre-owned line of business team, supporting sales and business development and participating as the primary legal support for the Leader of this team and her team.

Areas of responsibility include, but are not limited to: • Development of terms of sale for alternate channels (i.e., Third Party Resellers) and other new business offers • Strategic legal and risk counselor and partner for key client executives • Collaborate and coordinate with cross-functional stakeholders such as finance, sales, tax, corporate, compliance, import/export, licensing (and others, as needed) • Provide leadership in defining and implementing strategic initiatives for the Pre-owned line of business Primary responsibilities include: Act as the Legal representative for the Pre-Owned team to execute on the strategy, creating & negotiating agreements and addressing all attendant issues. Lead and partner with Capital SMEs in supporting all legal issues arising under the Pre-Owned Line of Business in the Regions, as needed.

Requirements: * Direct experience in the legal support of sales transactions of Cisco or other IT products direct to customers or through resellers * *MUST have a minimum of 2-3 years experience supporting sales transactions that include intellectual property, licensing * Experience supporting an in-house sales organization preferred. * Direct experience negotiating complex business transactions in a high-tech, distribution or direct sales environment. * In-depth knowledge of commercial sales

All candidates must be articulate, demonstrate superior communication, negotiation, people and organizational skills, and be comfortable and confident in dealing directly with all levels of management. Working knowledge and experience supporting multiple countries in a global captive financing company is a strong plus. The successful candidate will be able to work independently but collaboratively with a high energy, talented and fun team of professionals.

Typically requires law degree or equivalent professional qualification. Admitted to practice in at least one jurisdiction. Minimum 8+ years law firm or industry relevant experience required.

We have an exciting opportunity to join our WW Geos group supporting Cisco Capital!

This Senior Corporate Counsel position will work as a member of the WW Geos Legal team aligned to Cisco Capital to support globally the Cisco Capital’s Technology Finance Line of Business. The Technology Finance Line of Business is in place to drive profitability and growth of the Cisco Capital portfolio to enable and alignment with Cisco’s initiatives. The role will also include providing support for Cisco Capital’s Channel Finance Line of Business and syndication transactions, as needed.

The role will be as a member of the WW Geos Legal team reporting to the Global Legal SME for Cisco Capital. The successful candidate will support all legal matters arising in the Technology Finance Line of Business, including, without limitation, negotiating program agreements with finance partners and providing guidance on any transactional issues that arise under the finance partner programs in all Regions. In particular, the position will assist the Finance Partner team in bringing on and maintaining the finance partner relationships in line with Cisco’s standards. Support the development of new financial products that align and enable Cisco initiatives. The role will also be required to support the syndication of the Cisco Capital portfolio. The position will work collaboratively and cross functionally to identify and resolve legal, regulatory, compliance and process challenges impacting the business objectives.

Primary responsibilities include: Act as the Legal representative for the Finance Partner team to execute on the strategy, negotiating/amending program agreements and addressing all attendant issues. Partner with Capital SMEs in negotiating/amending transactions arising under or in connection with the program agreements with finance partners. Lead and partner with Capital SMEs attorneys in supporting all legal issues arising under the Channel Finance Line of Business and syndication transactions, as needed.

Requirements:
* Direct experience negotiating complex financial structures, private label programs, assignment models, true sale opinions (including an awareness of the regulatory environment in various jurisdictions and tax and accounting issues). * MUST have a minimum of 5 years experience supporting vendor finance programs and syndications. * Experience supporting an in-house sales organization preferred. * Direct experience negotiating complex business transactions in a high-tech, distribution or direct sales environment. * In-depth knowledge of finance and business law.
